South African state (CEF) agrees purchase of bp/Shell SAPREF precinct assets

On 25 May 2024 the South African Department of Mineral Resources and Energy announced the conclusion of a Sale and Purchase Agreement under which Central Energy Fund SOC Ltd (CEF) will acquire bp Southern Africa and Shell Downstream South Africa’s 50% interests in the SAPREF precinct land and associated tanks, units, pipelines and single buoy mooring; the sale excludes the SAPREF company and certain terminals and businesses.

The sale shifts ownership of key refining assets onto a state-owned enterprise, creating potential fiscal contingent liabilities and concentrating operational fuel‑supply risk in the public sector. If CEF assumes investment or recapitalisation needs, this could raise near‑term fiscal pressures and complicate SARB policy decisions; it may also increase short‑to‑medium maturity sovereign funding sensitivity if market participants price higher risk premia.

Regulatory approvals and the formal closing date for the SPA (as noted by sellers) are the next material milestones.
